PARKLAND BEEKEEPERS ASSOCIATION

BY-LAWS

ARTICLE ONE: PURPOSE

This 'Not-for-Profit' organization is formed to engage in any activity which will promote the common interest of beekeeping and the general welfare of beekeeping.

ARTICLE TWO:  MEMBERSHIP

1.         Anyone interested in apiculture may become a member of the association by payment of the annual dues, or by waiver of such dues as an honorary member.

2.         All dues-paying members, shall have equal voting rights, with family privileges, but only one vote per membership.

3.         The Association may, by a majority vote of members-in-good standing, elect honorary members who may have the privilege of the floor but no vote.  There shall be no voting by proxy.

ARTICLE THREE:  DUES

1.         The fiscal year of this Association will begin on January 1st and end on December 31st.

2.         Each member shall pay $25.00 dues.  These dues shall be paid on or before January 1st of each year.

ARTICLE FOUR:  MEETINGS OF THE MEMBERSHIP

1.         Regular meetings shall be held on the third Tuesday of each calendar month, except December, at a time and place designated by the Board of Directors.

2.         Written notice of the time and place of all general meetings shall be sent to all members.

3.         A simple majority of those present shall constitute a quorum at any business meeting.

ARTICLE FIVE:  OFFICERS

1.         The officers of the Parkland Beekeepers Association shall be:  president, vice-president, secretary, treasurer, and two directors.

2.         The officers shall be elected by the membership of the association for a term of one year.  Each officer shall serve until their successor has been duly elected.

3.         There shall also be two directors who, with the elected officers, shall serve as the Board of Directors.  Each director shall serve until their successor is duly elected.

ARTICLE SIX:  DUTIES OF THE OFFICERS

1.         The President shall preside at all meetings of the executive committee, the Board-of Directors and the membership and shall perform all duties commonly incident to the office. Also such duties as may be assigned by the membership.

2.         The Vice-President, in the absence of the President, shall perform the duties of the President.  Shall be chairperson of the program committee, and shall assume the presidency if the office of the President becomes vacant.

3.         The Secretary shall be custodian of the association records other than records kept by the Treasurer.  That person will keep the minutes of the Board-of-Directors and of regular meetings.  Perform such duties as may be prescribed by the President or the Association.  Maintain a list of all Association membership including names, addresses and phone numbers.

4.         The Treasurer shall be responsible for the funds of the association.  Receives all monies due the association and shall deposit in the bank designated by the Board-of-Directors.  Make only such payments as are authorized the Board-of-Directors.  Maintain a record of all receipts and distributions and make a report of the accounts at the monthly membership meetings.

5.         The Directors shall attend all Board-of-Directors meetings.  Perform such duties as may be prescribed by the President or the Board-of-Directors.

ARTICLE SEVEN:  ELECTIONS

1.         Officers shall be elected at the regular membership meeting in November.  In the event of a vacancy of one of the offices an election will be held at the next regular meeting to fill that vacancy.

2.         The President shall, prior to the November meeting, appoint a nominating committee composed of the Vice-President and two members in 'good standing' in the association, who are not officers of the association.  The nominating committee shall propose to the membership, prior to the election, names of the candidates for the positions to be filled, whose 'consent to serve' has been obtained.

ARTICLE EIGHT:  BY-LAW REVISION

1.         These by-laws may be amended by mailing written notice to all members prior to the meeting in which they are to be voted upon.

2.         These Articles may be amended according to a simple majority vote of those present.
